Third-Party Application Policy

While our Terms of Service describes in detail what is acceptable behavior and use of the Ning Platform, this policy ("Third Party Application and Non-Ning Code Policy") addresses using third party widgets and applications ("Third Party Applications") as well as adding custom code not provided by or endorsed by Ning ("Non-Ning Code") to your Social Networks on the Ning Platform.

Your use of Third Party Applications and Non-Ning Code on the Ning Platform is governed by the Ning Terms of Service (including, without limitation, all restrictions on User conduct, disclaimers, limitations of liability and governing law contained therein) as well as these additional Third Party Applications Policies. Any capitalized terms not defined herein have the meaning set forth in the Ning Terms of Service.

To the extent this Third Party Application and Non-Ning Code Policy directly contradicts the Ning Terms of Service, this Third Party Application and Non-Ning Code Policy shall control.

This Third Party Application and Non-Ning Code Policy is grounded in a few key commitments we want to make to Network Creators on the Ning Platform:

• To ensure that the Ning Platform is fast, stable, and available to all.
• To reinforce the right and freedom of Network Creators to modify and customize Social Networks on the Ning Platform while outlining the limited risks of doing so.
• To protect the Ning Platform from Non-Ning Code or Third Party Application Developers that negatively impact the Ning Platform, Network Creators or Social Networks.
• To create a vibrant Third Party Application marketplace on the Ning Platform available to all Network Creators with confidence.
• To establish a program for Ning to communicate with Network Creators about the status and ratings of Third Party Application Developers on the Ning Platform.

This Third Party Application and Non-Ning Code Policy applies to all Third Party Applications as well as Non-Ning Code.

Use of Third Party Applications & Non-Ning Code

When you install Third Party Applications or add Non-Ning Code to your Social Network or My Page, you understand that such Third Party Applications or Non-Ning Code has not been approved, endorsed, or reviewed in any manner by Ning, and Ning is not responsible for your use of or inability to use any Third Party Application or Non-Ning Code. YOU USE THIRD PARTY APPLICATIONS AND NON-NING CODE AT YOUR OWN RISK.

Third Party Applications and Non-Ning Code added to your Social Network may access your Social Network's Content, Member Data, and Code. If Third Party Applications and Non-Ning Code are broken, they can render your Social Network unusable for you and your Members. If Third Party Applications and Non-Ning Code are malicious, they can negatively affect your Social Network or gain inappropriate access to the Content, Member Data, and Code on your Social Network.

Ning strongly recommends that you use caution when adding Third Party Applications or Non-Ning Code to your Social Network. Ning is not responsible for:

• Ensuring the security of your Social Network when you add Third Party Applications and Non-Ning Code.
• Ensuring that your Social Network is functional when you have Third Party Applications or Non-Ning Code on your Social Network.
• Restoring the functionality of or replacing Third Party Applications or Non-Ning Code on your Social Network if such Third Party Applications or Social Networks with Non-Ning Code are no longer available on the Ning Platform.
• Restoring any lost Content or compromised Member Data when Third Party Applications or Social Networks with Non-Ning Code are no longer available on the Ning Platform.
• Providing additional support, financial compensation, or mediating any issue that arises between you and Third Party Application Developers.

Third Party Application Developers may require you to agree to their own terms of service, privacy policies and/or other policies as a condition of using Third Party Applications. By using Third Party Applications and Non-Ning Code, you are entering into an entirely separate agreement independent of Ning. Ning is not responsible for promises, commitments, or financial obligations made by any Third Party Application Developer. Ning is not responsible for financial transactions you enter into with Third Party Developers for Third Party Applications or Non-Ning Code. PLEASE REVIEW EACH THIRD PARTY APPLICATION DEVELOPER'S TERMS AND/OR POLICIES CAREFULLY BEFORE USING THIRD PARTY APPLICATIONS AND NON-NING CODE.

Most importantly, Ning is not responsible for the compliance of Third Party Applications and Non-Ning Code with the Ning Terms of Service or this Third Party Application and Non-Ning Code Policy.

Ning reserves the right to remove any Third Party Application or Social Network using Non-Ning Code that violates the Terms of Service in whole or in part at any time for any reason or no reason with or without notice to you and with no liability of any kind.

As a result, we strongly encourage you to use judgment and caution with respect to Third Party Applications and Non-Ning Code and only work with Third Party Application Developers you trust to comply with Ning's Terms of Service.
